Founders tend to think of a raise as beginning with the first partner meeting. By that point the outcome is largely determined, because what an investor is really assessing in diligence is whether your reported numbers can be reproduced from your systems.

What actually gets tested

  • Whether the revenue in the deck reconciles to the accounting system without manual adjustment.
  • Whether your cohort definitions have been stable long enough to trust the retention curve.
  • Whether churn is measured on customers, on revenue, or on whichever produces the better chart this month.
  • Whether anyone other than the founder can answer a question about the model.

None of these can be fixed in the month before a round. Rebuilding a metric definition retroactively means restating history, and restating history in the middle of diligence is the single fastest way to lose a process.

Investors are not testing your ambition in diligence. They are testing whether your numbers reproduce.

A two-quarter runway

Two quarters is enough to stabilise definitions, produce two clean monthly reporting cycles, build a data room that is organised rather than merely full, and rehearse management against a real question list. It is also enough time to discover the problem you did not know you had while you still have the option to fix it quietly.

The rehearsal

Before any client of ours meets an investor, we run a full diligence rehearsal with the difficult questions asked by someone who is not on their side. It is an unpleasant afternoon that has saved several rounds.
